SOFTWARE LICENCE

OXFORD WORDSMITH TOOLS 4.0 ('the Software')

TERMS GOVERNING THE USE OF THE SOFTWARE

The Software is protected by copyright and must not be used, displayed, modified, adapted, distributed, transmitted, transferred or published or otherwise reproduced in any form by any means other than strictly in accordance with the terms set out below. If you do not accept the licence terms set out below then do not select the 'Agree' option. By installing the Software, you agree to be bound by the terms of the licence.

Licensor: Oxford University Press, of Great Clarendon Street, Oxford OX4 1TQ ('OUP')

1. The Licence Material
These terms govern your use of the following material:  the software and any content of Oxford WordSmith Tools 4.0 ('the Software') and any updates to the Software issued by OUP and taken by you from time to time ('Updates') but not including subsequent versions (eg. 'Oxford WordSmith Tools 5.0').

2. The Licence granted
a) If you have ordered a SINGLE LICENCE,
OUP grants to you a non-exclusive non-transferable licence ('the Licence') to use the Software and the Updates on a single personal computer. You may not network the Software or Updates.

b) If you have ordered a SITE LICENCE for UP TO 10 USERS,
OUP grants to you a non-exclusive non-transferable licence ('the Licence') to use the Software and the Updates on a network or to install the Software and Updates on up to 10 single personal computers. At no time may more than 10 users access the Routines simultaneously. 

c) If you have ordered a SITE LICENCE for 50/100/200 USERS
OUP grants to you a non-exclusive non-transferable licence ('the Licence') to use the Software and the Updates on a network. At no time may the number of users accessing the Software and the Updates simultaneously exceed the number of users you have specified in your order.

3. Termination
You may terminate this Licence at any time by uninstalling the Software and deleting it. The Licence will also terminate if you breach any of the terms of the Licence.

4. Use of the Software
a) Without prejudice to any statutory rights so to do, you must not alter any of the Software or the Updates.
b) You may copy the Software and Updates to the hard disk of your computer and retain the downloaded file as a back-up copy. Such a copy will be covered by the terms of this Licence. Copies for any other purposes may not be made.
c) No rights are granted to you in relation to the Software except those specifically set out in this Licence.
d) Recognizing the damage to OUP's business which would flow from unauthorized use of the Software you will make every effort to keep the Software and the file retained for back-up purposes secure both during the continuance of this Licence and after its termination.
 
5. Warranties
a) OUP warrants that the program will be free from defects in workmanship under normal use and will conform to the published specification for 90 days from the date you receive it.
b) The above warranty is in lieu of all other warranties express or implied and representations and in particular but without limitation to the foregoing:
i) OUP gives no warranties and makes no representations that the Software or the Updates will be suitable for any particular purpose or for any use under any specific conditions, notwithstanding that such purpose or conditions may be known either to OUP or the dealer from whom you acquired the program;
ii) OUP accepts no responsibility for any mathematical or technical limitations of the Software and the Updates;
iii) OUP does not warrant that the operation of the Software and the Updates will be uninterrupted or free from errors.

6. Limitation of liability
The entire liability of OUP and its suppliers and your exclusive remedy shall be return of the price paid for the Licence. In no circumstances will OUP or its suppliers be liable for any damages whatsoever (including without limitation damages for loss of data, loss of business, goodwill or any other consequential losses of any nature) arising out of the use or inability to use the Software.

7. Jurisdiction
These terms will be governed by English law and the English Courts shall have jurisdiction.
